LIND ADVOKATAKTIESELSKAB'S TERMS AND CONDITIONS

THE WORK

The provisions of these terms of Business apply to all assignments performed by LIND Advokataktieselskab (LIND), unless otherwise agreed in writing.

REGULATION – LAWYERS AND CASE HANDLING

The lawyers at LIND are all appointed by the Danish Ministry of Justice and are members of the Danish Bar and Law Society. LIND performs its tasks in compliance with the rules of the Danish Administration of Justice Act governing lawyers and the rules of professional conduct adopted by the Danish Bar and Law Society. LIND is subject to the Act on Preventive Measures against Money Laundering and obtains and stores identity information about clients in accordance with the law. Both legal and other employees at LIND are subject to professional secrecy and are covered by prohibition against insider trading in the Securities Trading Act. The documents included in LIND’s handling of a case are stored in physical and/or electronic form for five years after the case has been closed. In certain cases, the documents will be stored for a longer period of time after a specific assessment. When receiving an assignment, LIND examines whether there is any disqualification, conflict of interest, or other circumstances that prevent LIND from performing the assignment.

FEES AND EXPENSES

LIND’s fees are determined on the basis of the time spent on the case, the scope of the work, the difficulty and nature of the task, including whether specialist knowledge has been required, the value of the task, the responsibility associated with the task, the significance of the task for the client, and the result achieved. LIND will be happy to provide a price estimate. If we have done so, we will inform you in a reasonable time if it turns out that our fee is likely to be higher than the estimate Depending on the circumstances, LIND may request advance payment of fees, and we may also request payment to cover actual or anticipated expenses. Invoicing generally takes place on a quarterly basis.

CLIENT FUNDS

Funds belonging to LIND’s clients are managed in accordance with the Danish Bar and Law Society’s rules for client accounts. Interest on client account funds accrues to the individual client in accordance with these rules. In relation to coverage from the Deposit Guarantee Fund for amounts held in client bank accounts, the same restrictions apply as for ordinary bank accounts. If a bank undergoes restructuring or goes bankrupt, anyone who has money in the bank may lose amounts exceeding a total value of €100,000. The limit of €100,000 applies to the total amount a client has in their own accounts at the bank and the amount a client has in the same bank via a lawyer’s client bank account. LIND has client funds in AL Sydbank and Nordea Bank Danmark. LIND is not liable for any loss of client funds resulting from the limitation of coverage by the Deposit Guarantee Fund.
With regard to sums of money paid to LIND that belong to the client, interest is credited to the balance in the client account with LIND. The interest rate corresponds to the interest rate obtained by LIND at any given time from the bank where the account is held. However, interest shall not be credited on amounts which (I) have been paid as security for LIND’s fee claims, (II) have been paid in advance to cover expenses to third parties, (III) are less than DKK 25,000. (IV) remain with LIND for 10 days or less, or if (V) it is due to the client’s circumstances that the amount cannot be forwarded to the client.

COMPLAINTS

In the event of dissatisfaction with LIND’s advice or handling of the case in general, the Client may at any time contact either the responsible partner or LIND’s director. LIND is subject to the Rules of Professional Conduct issued by the Danish Bar and Law Society. The Client may lodge complaints about our advice and the calculated fee with the Danish Bar and Law Society/Disciplinary Board (“Advokatnævnet”). LIABILITY AND INSURANCE

Any liability on the part of LIND is subject to the general rules of Danish law. However, LIND’s liability in individual cases is limited to DKK 50 million, and LIND does not compensate for indirect losses such as operating losses, loss of goodwill, loss of profit, and loss of data. LIND has professional liability insurance and legal expenses insurance with HDI Gerling.

COPYRIGHT

The written material prepared by LIND in connection with the provision of services is part of the advice provided by LIND to the individual client. LIND retains all copyrights and other intellectual property rights to the material.

GOVERNING LAW AND JURISDICTION

Any dispute relating to LIND’s performance of tasks for clients must be dealt with in accordance with Danish law and by Danish courts.
